This Non-Compete Agreement ("Agreement") is made and entered into as of , by and between , located at ("Employer"), and , residing at ("Employee"). This Agreement is governed by the laws of the State of New York.

The purpose of this Agreement is to protect the legitimate business interests of the Employer by restricting the Employee from competing with the Employer under certain conditions.

1. Non-Compete Obligation

The Employee agrees that for a period of following the termination of employment, they will not engage in any of the following activities within :

  • Working for a competitor of the Employer.
  • Starting or managing a competing business.
  • Directly or indirectly soliciting the Employer’s clients or customers.

2. Consideration

In exchange for the Employee's agreement to the terms outlined in this Agreement, the Employer provides the following consideration:

  • Employment with the Employer.
  • Access to confidential information.
  • Additional benefits as outlined in the Employee's offer letter.

3. Confidentiality

The Employee agrees to keep all proprietary and confidential information learned during their employment confidential, both during and after their employment with the Employer.

4. Governing Law

This Agreement shall be construed in accordance with the laws of the State of New York.

5. Severability

If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

6. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral, regarding the subject matter hereof.
